They lack UI/UX expertise and have never built self-serve products before. Pressure comes from customer requests, competitive dynamics, and strategic partnership opportunities.
- Advice: Execute a 3-month sprint with a committed beta customer to build a crude MVP. Focus on learning self-serve product development while managing the transition from high-touch services.
Topic 3: M&A Earnout Structure
- Challenge: A SaaS company received multiple acquisition offers with 70/30 cash-to-earnout splits. The founder needs earnout terms with "teeth" to ensure buyers honor commitments, especially since forecasts depend on future go-to-market investments.
- Advice: Seek specialized M&A advisors or law firms experienced in structuring earnouts with strong protections beyond verbal assurances.
